Chapter 5 - War Room at Dawn

At 6:00 AM, the boardroom on the seventy-second floor of the Vance Enterprises tower was already filled with heavy smoke, stale coffee, and palpable panic. Ten senior board members sat around the massive oval oak table, their faces pale as they sifted through stack after stack of emergency financial reports.

Daniel Vance sat at the head of the table, his tie crooked, his eyes bloodshot from lack of sleep. He had spent the entire night in a budget hotel near Midtown after his credit card was rejected at the Plaza. His suit was wrinkled, and his hands shook slightly as he tried to pour himself a glass of water.

"This is madness!" shouted Jonathan Thorne, a senior board member who owned twelve percent of the company's shares. "Daniel, the banks have frozen our operational cash flow! Our suppliers in Asia are holding shipment containers at the port because our letters of credit were declined this morning! What the hell is going on?!"

"Calm down, Jonathan!" Daniel snapped, trying to project authority, though his voice cracked on the final syllable. "It’s a temporary administrative delay! My personal assets were tied up in a trust restructuring managed by my ex-wife. She took a vindictive action yesterday, but my legal team is filing an emergency injunction in Manhattan Chancery Court as we speak!"

"Your ex-wife?" barked Victoria Cross, a ruthless venture capitalist sitting across from him. "You mean Rebecca Sterling? The woman whose family backed your seed round twenty-three years ago?"

"She was just a co-sign on paper!" Daniel lied loudly, slamming his palm on the table. "I built this company from a garage! I made every deal, brought in every client, and generated every dollar of revenue! Rebecca was just a stay-at-home mother who collected alimony in advance!"

"Is that so, Daniel?" a calm, cultured voice echoed from the heavy double doors at the back of the boardroom.

The entire board turned in unison.

The doors swung open. Walking into the room was Rebecca Sterling Vance. She wore a sharp, custom-tailored charcoal suit, her silver-streaked hair styled impeccably, holding a black leather briefcase. Walking right beside her was Julian Vance, dressed in a sharp navy blazer, carrying a tablet, followed by three senior partners from Manhattan’s top corporate law firm, Carter & Sterling.

Daniel gasped, half-rising from his chair. "Rebecca?! What are you doing here?! Security! How did she get up to the executive floor?!"

"Security didn't stop her because she owns the lease on this entire skyscraper, Daniel," Arthur Hayes, the CFO, mumbled quietly from the corner, his head hanging in defeat.

Rebecca walked directly down the center aisle, her heels clicking with absolute precision. She stopped at the foot of the boardroom table, looking straight at her husband with an unreadable expression.

"Good morning, members of the board," Rebecca said, her voice smooth and carrying effortlessly across the room. "I apologize for the early intrusion, but as the principal owner of Sterling Global Investments, which currently holds seventy-two percent of Vance Enterprises' senior debt, I felt it was my duty to attend."

Jonathan Thorne stood up immediately, offering a polite nod. "Mrs. Vance... we were not aware you held our corporate debt."

"Daniel certainly wasn't," Rebecca replied, casting a cool glance at her husband. "Because for the last seven years, whenever Vance Enterprises needed capital expansion, Daniel didn't raise money from Wall Street. He borrowed it from Sterling Global, mistaking our investment arm for an automatic family piggy bank."

"You... you can't be here!" Daniel stammered, his face turning dark purple with rage. "This is a private corporate meeting! You're executing a personal vendetta because I asked you for a divorce yesterday!"

"Divorce?" Victoria Cross interrupted, looking at Daniel with sharp eyes. "Daniel, did you fire your chief legal officer and attempt to evict your primary creditor over a personal divorce?"

"She’s sabotaging us!" Daniel yelled, pointing a shaking finger at Rebecca. "She sold our home yesterday! She threw me out onto the street! She’s mentally unstable!"

Rebecca didn't raise her voice. She opened her briefcase, retrieved a thick white stack of legal documents, and laid them gently on the table.

"I didn't throw you out, Daniel," Rebecca said softly. "I simply stopped subsidizing your delusions. And as for your claim that you built this company alone..."

She turned to Julian, who tapped his tablet. A massive digital display on the wall lit up, showing a detailed audit timeline stretching back twenty-three years.

"Every patent filed under Vance Enterprises was co-developed by my mother during our first eight years of operation," Julian announced clearly to the board. "Every major institutional investor was introduced through the Sterling Foundation. And as of midnight last night, Vance Enterprises has officially defaulted on its Series A debt covenant due to missing collateral."

The board members gasped. Chaos broke out around the table.

"Default?!" Thorne shouted. "If we default, the debt converts into voting stock!"

"Precisely," Rebecca said, resting her hands on the back of a mahogany chair. "Which means as of eight-fifteen this morning, I am no longer just your landlord or your creditor."

She looked Daniel dead in the eyes.

"I am your majority shareholder."
